By accessing or using the MenuIT website and services (collectively, the “Service”) provided by MenuIT USA Inc. (“MenuIT,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service.

The notice must include: a) Identification of the copyrighted work b) Identification of the allegedly infringing material c) Your contact information d) A statement of your good faith belief that the use is not authorized e) A statement that the information is accurate and that you are authorized to act on behalf of the copyright owner

12. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MENUIT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE.
MENUIT SHALL NOT BE LIABLE FOR ANY DAMAGES INCURRED BY USERS IN RELATION TO THE FREE SERVICES PROVIDED, EXCEPT IN CASES WHERE SUCH DAMAGES ARE CAUSED BY MENUIT’S GROSS NEGLIGENCE

13. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless MenuIT, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Service; (ii) your violation of any term of these Terms; (iii) your violation of any third party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your content caused damage to a third party.

14. DISPUTE RESOLUTION AND ARBITRATION

14.1. Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

14.2. Agreement to Arbitrate: You agree that any dispute with MenuIT will be resolved only through individual arbitration. You expressly waive your right to participate in a class action lawsuit or class-wide arbitration.

14.3. Arbitration Procedure: The arbitration will be conducted in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Santa Clara, California, USA.

14.4. Enforceability: If any portion of this section is found to be invalid or unenforceable, the remaining portions shall remain in full force and effect.

15. PROVISION OF INFORMATION AND ADVERTISEMENT PLACEMENT

We may place advertisements on apps, websites, etc., in relation to the operation of the services.

16. ELECTRONIC COMMUNICATIONS

16.1. By using the Service, you consent to receive communications from us electronically. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

16.2. When MenuIT needs to notify unspecified users, it can substitute individual notifications by posting on the Web Management System for more than one week.

17. AGE RESTRICTION

17.1. You must be at least 13 years old to use this Service.

17.2. If you are under 18 years old, you represent that you have obtained your parent or guardian's permission to use the Service.

18. TERMINATION

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

19. ACCOUNT DELETION AND SERVICE DISCONTINUATION

19.1. Right to Delete Account: You have the right to request the deletion of your account at any time. To initiate this process, please contact us at help@menuit.io

19.2. Account Deletion Process: Upon receiving your request, we will verify your identity and process the account deletion within 30 days. This process will permanently remove your personal information from our active databases, subject to any legal obligations to retain certain data.

19.3. Effects of Account Deletion: Please note that deleting your account will result in the permanent loss of your profile, saved preferences, and any associated data. You will no longer have access to any services or features tied to your account.

19.4. Service Discontinuation by User: You may choose to discontinue using our Service at any time without deleting your account. However, simply discontinuing use does not remove your data from our systems.

19.5. Retention of Data: Even after account deletion, we may retain certain information as required by law or for legitimate business purposes, such as to resolve disputes, enforce our agreements, or comply with legal obligations. Any retained information will be handled in accordance with our Privacy Policy.

19.6. Service Discontinuation by MenuIT: In addition to our termination rights outlined in Section 18, we reserve the right to discontinue or modify any aspect of the Service at our sole discretion. We will make reasonable efforts to provide notice of any major changes or discontinuations.

20. EXPORT CONTROL

You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce and trade and economic sanctions maintained by the Treasury Department's Office of Foreign Assets Control.

21. ENTIRE AGREEMENT

These Terms constitute the entire agreement between you and MenuIT regarding the Service and supersede all prior agreements and understandings, whether written or oral, or whether established by custom, practice, policy or precedent, with respect to the subject matter of these Terms.
